Cyclerion's 400% Stock Surge Follows $380M Merger With Korsana Biosciences
Shares of Cyclerion Therapeutics surged by over 400% on Wednesday after the company announced a merger with Korsana Biosciences. The deal will create a new entity, Korsana Biosciences, set to trade on the Nasdaq under the ticker 'KRSA'. The merger follows a strategic review by Cyclerion, which will see its legacy programs deprioritised. Existing shareholders will retain just 1.5% of the combined company, while Korsana's investors take a 98.5% stake through an all-stock transaction. Shareholders of Cyclerion will also receive contingent value rights (CVRs) linked to future monetisation of legacy assets.
A private investment round (PIPE) led by Fairmount and Venrock Healthcare Capital Partners raised around $380 million. This funding is expected to support operations until 2029, giving the merged company time to advance its clinical pipeline. Korsana's lead program, KRSA-028—a monoclonal antibody for Alzheimer's—remains in early development, with Phase 1 data not anticipated until mid-2027. Jonathan Violin, Korsana's current CEO, will lead the new organisation, with Tomas Kiselak from Fairmount serving as chairman. Korsana insiders will face a 180-day lock-up period on their shares post-merger. Cyclerion's most recent financials showed $2.07 million in revenue and a net loss of $3.53 million.
The deal rebrands the combined company as Korsana Biosciences and secures its Nasdaq listing under 'KRSA'. With fresh capital and a focus on Alzheimer's research, the new entity aims to progress its pipeline over the next several years. The merger also marks a significant shift for Cyclerion, which will now operate under Korsana's leadership.
